Terms for AgentVeil website, software, hosted services, and paid access.

1. Agreement to Terms
These Terms of Service ("Terms") are a legal agreement between you and the operator of AgentVeil ("AgentVeil", "we", "us", or "our").
AgentVeil is operated by Oleg Boiko PR Informacione usluzne delatnosti Novi Sad, an individual entrepreneur (preduzetnik) registered in the Republic of Serbia, PIB 114089208, with registered office at Svetozara Miletica 43, Novi Sad, Serbia, unless a separate written agreement identifies another contracting entity.
By accessing the website, using the software, using hosted services, requesting paid access, paying an invoice or payment request, or otherwise using AgentVeil, you agree to these Terms and the Privacy Policy.
If you are using AgentVeil for an organization, you represent that you have authority to accept these Terms on behalf of that organization.
2. Intended Use
AgentVeil Builder and related paid access are intended for professional, business, freelance, research, internal developer workflow, or similar technical use. AgentVeil is not intended for personal, household, family, consumer, mission-critical, life-safety, medical, legal, financial, or regulated decision-making use unless we expressly agree in writing.
By purchasing or using a paid plan, you represent that you are using AgentVeil for professional or business-related development work.
Nothing in these Terms limits mandatory consumer rights that cannot be waived under applicable law. We may refuse, suspend, or terminate access where the service is not appropriate for the requested use case.
3. What AgentVeil Does
AgentVeil is a control and evidence layer for configured AI-agent action paths. It can help classify, redirect, require approval for, block, and record bounded evidence for actions that are routed through supported AgentVeil-controlled interfaces.
AgentVeil may include public software, MCP proxy routes, connector routes, approval flows, local proof features, hosted or paid features, and related documentation.
4. Configured-Route Limitation
AgentVeil only controls actions that pass through configured AgentVeil routes, such as supported MCP proxy paths, configured connector routes, hosted approval flows, or other expressly supported integration points.
Actions taken outside those routes are outside AgentVeil's control and may not be classified, blocked, approved, redirected, logged, or included in AgentVeil evidence.
You are responsible for configuring your agents, tools, credentials, environments, and workflows so that high-risk actions use a controlled route.
5. No Guarantee of Complete Agent Safety
AgentVeil does not guarantee that an AI agent, model, tool, integration, script, user, or third-party system cannot cause harm, bypass controls, make mistakes, follow malicious instructions, access data, execute commands, send messages, deploy code, spend money, or otherwise take unintended action.
No software can provide complete protection against all AI-agent behavior, prompt injection, tool misuse, credential misuse, supply-chain attacks, misconfiguration, user error, third-party service failures, or malicious activity.
AgentVeil is intended to reduce certain risks and improve visibility, accountability, and decision control for configured routed actions. It is not a substitute for secure system design, least-privilege credentials, sandboxing, code review, monitoring, backups, access controls, endpoint protection, incident response, or professional security review.
6. Customer Responsibilities
You are responsible for reviewing and testing your AgentVeil configuration, choosing appropriate policies and approval settings, limiting agent credentials, routing high-risk actions through AgentVeil-controlled paths, reviewing approval requests before approving them, monitoring agent activity, maintaining backups, and complying with applicable laws and third-party terms.
If you disable approvals, use bypass flags, give agents direct credentials, allow unmanaged shell or network access, connect tools outside AgentVeil, or misconfigure routes, AgentVeil may not be able to control or record those actions.
7. Accounts, Credentials, and Access
You are responsible for maintaining the confidentiality of your accounts, license keys, API keys, tokens, credentials, devices, and access methods. Do not share license keys or credentials except as permitted by your plan or a separate written agreement.
8. Paid Access, Billing, and Payment Requests
Paid access may be offered through manual invoices, payment links, or payment requests sent by AgentVeil or its payment providers. Payment processing may be handled by third-party providers, including Payoneer, and their own terms and privacy policies may apply.
Unless a separate written order form states otherwise, paid access begins only after payment is received and confirmed. By paying an invoice, payment link, or payment request, or by using paid features, you agree to these Terms and the Privacy Policy.
A paid AgentVeil license grants access only to the paid features, support level, usage limits, and access period described in the applicable plan, invoice, payment request, order form, or written confirmation from AgentVeil.
Unless otherwise agreed in writing, paid access is personal or organization-specific, non-transferable, and revocable for breach, misuse, security risk, or non-payment. Paid access does not grant ownership of AgentVeil software, hosted services, private policy packs, connectors, models, infrastructure, trademarks, or source code.
Public open-source software remains governed by its applicable open-source license. Hosted services, private features, paid policy packs, activation keys, and commercial access are governed by these Terms and any applicable paid plan terms.
Payoneer or another payment provider may act as a receiving account provider. The legal service provider and invoice issuer remains Oleg Boiko PR Informacione usluzne delatnosti Novi Sad unless a separate written agreement identifies another contracting entity. Payment provider receiving accounts do not make Payoneer or any intermediary bank responsible for AgentVeil services, refunds, support, or disputes.
Specific payment account details may be provided only on invoices or payment requests. Those payment details should not be used for any purpose other than paying the relevant invoice or payment request.
9. Taxes
You are responsible for any taxes, duties, bank fees, withholding, VAT, GST, sales tax, or similar charges that apply to your purchase, except taxes based on AgentVeil's income. If you are purchasing as a business customer, you are responsible for providing accurate billing and tax information.
10. Refunds and Cancellations
Unless required by applicable law or stated in a separate written agreement, payments for manual invoice-based access are non-refundable after paid access is granted.
If AgentVeil cannot provide paid access after accepting payment, AgentVeil may provide a refund, credit, or alternative access period.
If you believe there is a billing or service issue, contact AgentVeil first at ob@partlogic.dev so we can investigate. Starting a payment dispute or chargeback without first contacting us may delay support and may result in suspension of paid access while the dispute is reviewed.
11. Public Software and Hosted Services
AgentVeil may include public software and hosted or paid services. Public software may be subject to its own license terms. Hosted or paid services may be subject to these Terms, an order form, plan terms, or a separate written agreement.
12. Acceptable Use
You may not use AgentVeil to violate laws or third-party rights; attack, disrupt, or gain unauthorized access to systems; process data you do not have authority to process; bypass safety, security, usage, or payment limits; resell paid access unless expressly permitted; use AgentVeil for high-risk use without a separate written agreement; or misrepresent AgentVeil's capabilities.
13. Customer Content and Sensitive Data
You retain ownership of your prompts, files, source code, logs, configurations, policies, evidence, and other content that you provide or process through AgentVeil.
Do not send raw secrets, production credentials, private keys, sensitive source code, regulated personal data, or private evidence artifacts through public website forms, ordinary email, or support messages. If support or audit work requires sensitive material, use an agreed secure channel.
14. Intellectual Property
AgentVeil and its software, documentation, workflows, designs, trademarks, methods, and related materials are owned by us or our licensors. Except for rights expressly granted to you, we reserve all rights.
15. Third-Party Services
AgentVeil may interact with third-party tools, models, MCP servers, IDEs, payment providers, hosting providers, analytics providers, and other services. We are not responsible for third-party services, their availability, their security, their terms, or their handling of data.
16. Disclaimer of Warranties
The service, software, website, documentation, and related materials are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, AgentVeil disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, security, availability, accuracy, and any guarantee that agent actions will be prevented, detected, approved, blocked, redirected, or recorded in all circumstances.
17. Limitation of Liability
To the maximum extent permitted by law, AgentVeil is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, loss of goodwill, cost of substitute services, or third-party claims, even if we were advised that such damages were possible.
To the maximum extent permitted by law, AgentVeil's total liability for any claim arising out of or relating to the service, software, paid access, or these Terms is limited to the amount you paid for AgentVeil during the three months before the event giving rise to the claim, or USD 100, whichever is greater.
AgentVeil is not liable for actions taken outside configured AgentVeil routes, including direct credentials, raw shell commands, unmanaged APIs, bypass flags, misconfigured tools, user-approved actions, third-party service behavior, or agent actions that do not pass through an AgentVeil-controlled path.
18. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold AgentVeil harmless from claims, damages, liabilities, costs, and expenses arising from your use of AgentVeil, your agents or workflows, your configuration, your credentials, your customer content, your breach of these Terms, your violation of law, your decisions to approve or perform actions, or your use of AgentVeil outside configured routes.
19. Termination
You may stop using AgentVeil at any time. We may suspend or terminate access for non-payment, misuse, security risk, prohibited use, breach of these Terms, or unacceptable operational risk.
20. Governing Law
These Terms are governed by the laws of Serbia, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Nothing in these Terms limits mandatory rights that cannot be waived under applicable law.
21. Disputes
Before starting a formal dispute, you agree to contact us at ob@partlogic.dev and attempt to resolve the issue informally. Formal dispute forum terms may be set by a separate written agreement or applicable law.
22. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to provide notice, such as posting the updated Terms on the website or contacting paid users where appropriate. Continued use of AgentVeil after updated Terms become effective means you accept the updated Terms.
23. General
These Terms and the Privacy Policy are the entire agreement between you and us for the use of AgentVeil, unless a separate written agreement applies. If any provision is unenforceable, the remaining provisions remain in effect.
